Software License Agreement
Last Updated: October 19, 2026
This Software License Agreement (“Agreement”) is a legal agreement between Studer Works, LLC, a Georgia limited liability company (“Licensor,” “we,” “us,” or “our”), and you, either as an individual or as an authorized representative of the company or other organization you act for (“End User” or “you”). If you accept this Agreement for an organization, you confirm that you have the authority to bind it, and “you” refers to that organization.
This Agreement governs every software product that Licensor publishes and licenses under the Studer Works name, including its installers, updates, fixes, components, and documentation (each, the “Software”). Additional terms for a particular product are set out in a Product Schedule at the end of this Agreement and form part of it. If a Product Schedule conflicts with the main body of this Agreement, the Product Schedule controls for that product.
BY CLICKING “I AGREE,” OR BY INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT INSTALL, ACTIVATE, OR USE THE SOFTWARE. IF YOU BOUGHT THE SOFTWARE AND DO NOT AGREE, YOU MAY REQUEST A REFUND UNDER SECTION 5.
1. LICENSE GRANT
1.1 Limited License: Subject to your compliance with this Agreement and payment of the applicable license fee, Licensor grants you a non-exclusive, non-transferable, non-sublicensable license to install, activate, and use the Software in object code form, for the license type and number of seats you purchased, as described in Section 2.
1.2 Perpetual License for the Version Purchased: Your license does not expire. It covers the major version of the Software that you purchased (for example, version 1.x) and every update, fix, and patch Licensor releases for that major version. A later major version (for example, version 2.0) is a new product version that Licensor may offer as a paid upgrade. Upgrading is optional, and your license to the version you purchased continues if you do not upgrade.
1.3 Reservation of Rights: The Software is licensed, not sold. All rights not expressly granted to you are reserved by Licensor and its licensors. This Agreement does not give you any ownership interest in the Software or any intellectual property rights in it.
2. LICENSE TYPES, SEATS, AND ACTIVATION
2.1 Personal License: A Personal license is for one named individual. That individual may install and activate the Software on up to the number of computers stated for the license at the time of purchase, for their own personal or professional use. A Personal license may not be shared with, assigned to, or used by other people, and it does not include features that a Product Schedule reserves for Business licenses.
2.2 Business License: A Business license is purchased by an organization in a number of seats. Each seat may be assigned to one individual at a time, who may install and activate the Software on up to the number of computers stated per seat at the time of purchase. The organization may reassign a seat to a different individual (for example, when an employee leaves) by deactivating the previous individual’s computers first. A Business license includes the business features described in the applicable Product Schedule, which may be used only within the organization that purchased it.
2.3 Activation and License Checks: The Software must be activated with a valid license key, which requires an internet connection. After activation, the Software checks the license periodically. If the Software cannot reach the licensing service, it continues to work for a grace period stated in the Product Schedule. If the license key is invalid, disabled, refunded, or cannot be confirmed after the grace period, the Software may limit itself to reduced functionality until a valid key is confirmed. You may deactivate a computer at any time to free its activation for another computer.
2.4 License Keys: Your license key is confidential. You may not publish, share, resell, or distribute it, and you are responsible for any use of the Software activated with your key. If you believe your key has been compromised, contact us at support@studerworks.com.
3. USE RESTRICTIONS
3.1 Prohibited Uses: Except as expressly permitted by this Agreement or by applicable law that cannot be waived by contract, you shall not:
- Copy the Software, except for installation on the computers permitted by your license and reasonable backup copies;
- Modify, translate, create derivative works from, decompile, disassemble, or reverse engineer the Software, or otherwise attempt to derive its source code, algorithms, prompts, file formats, or license mechanisms, even where parts of the Software are delivered in readable form (such as script files);
- Copy, extract, or reuse any part of the Software’s code, prompts, designs, or documentation in any other software or service;
- Use the Software, or any knowledge gained from examining it, to build or help build a competing product;
- Rent, lease, lend, sell, sublicense, distribute, or provide the Software to third parties, or use it to provide a hosted or service bureau offering to third parties;
- Circumvent, disable, or interfere with license activation, license checks, or any other security or usage limitation in the Software;
- Remove or alter any proprietary notices, labels, or marks on the Software;
- Use the Software in violation of any applicable law, including recording, wiretapping, privacy, data protection, biometric privacy, and export control laws; or
- Use the Software to process any material that you do not have the right to process.
3.2 Compliance with Laws: You are solely responsible for your use of the Software and for complying with all laws and regulations that apply to that use.
4. FEES AND PURCHASES
4.1 Reseller and Merchant of Record: Licenses are sold through Lemon Squeezy, our authorized reseller and merchant of record. Lemon Squeezy processes payments, collects applicable sales tax and VAT, issues receipts, and provides the order page where you can view your license keys and activations. Your purchase is also subject to Lemon Squeezy’s terms and privacy policy.
4.2 Prices: Prices are shown on our website and at checkout. Licensor may change prices and license offerings for future purchases at any time. A price change does not affect licenses that you have already purchased.
4.3 Discount Codes: Discount and promotional codes are subject to the conditions stated when they are offered, have no cash value, and may be withdrawn at any time before they are used.
5. MONEY-BACK GUARANTEE AND REFUNDS
5.1 14-Day Guarantee: If you are not satisfied with the Software, you may request a full refund within fourteen (14) days of purchase through the refund page on our website (studerworks.com/refund) or by emailing support@studerworks.com. Refunds requested within this period are issued without questions.
5.2 After 14 Days: Refund requests made after the 14-day period are reviewed case by case at Licensor’s discretion, except where applicable law requires otherwise.
5.3 Effect of a Refund: When a purchase is refunded, its license keys are disabled, the license granted for that purchase ends, and the Software may limit itself to reduced functionality on every computer that used those keys.
5.4 Chargebacks and Payment Disputes: If you have a problem with a purchase, please contact us or use the refund process in this Section 5 before disputing the charge with your bank or card issuer. Filing a chargeback or payment dispute for any purchase, whatever its outcome, results in: (a) termination of all of your licenses to Studer Works software and disabling of all of your license keys; and (b) a permanent block on any future purchase, download, activation, or use of Studer Works software by you or by anyone acting on your behalf. If the dispute is decided in Licensor’s favor, Licensor will refund the amount you paid for the disputed purchase, minus any chargeback, dispute, and payment processing fees charged to Licensor or its reseller in connection with the purchase and the dispute. If the dispute is decided in your favor, no further refund is due, because the disputed amount has already been returned to you.
6. YOUR CONTENT AND PRIVACY
6.1 Your Content Stays With You: The Software is designed to process your files, recordings, and other content (“Your Content”) on your own computers or on servers that you control. Licensor does not receive, store, or have access to Your Content, and you retain all rights in it. Licensor does not claim any license to Your Content.
6.2 Information the Software Sends: To activate and check your license, the Software sends your license key and a name that identifies the computer (such as the computer’s user name, computer name, and operating system) to the licensing service. To check for and install updates and components, the Software contacts Licensor’s download servers and the third-party sources described in the Product Schedule. Licensor’s handling of personal information is described in its Privacy Policy at https://studerworks.com/privacy, which forms part of this Agreement.
6.3 Backups and Security: You are responsible for backing up Your Content and for the security of the computers, networks, and servers on which you run the Software.
7. THIRD-PARTY COMPONENTS AND AI MODELS
7.1 Third-Party Components: The Software includes or downloads open-source software, AI models, and other third-party components (“Third-Party Components”) that are licensed under their own terms. The notices and licenses for Third-Party Components are provided with the Software. Your use of each Third-Party Component is governed by its license, and nothing in this Agreement limits your rights under those licenses.
7.2 Third-Party Sources: Some Third-Party Components are downloaded directly from their publishers or from third-party hosting services. Licensor does not control those services and is not responsible for their availability or content.
8. AI-GENERATED OUTPUT
8.1 Output May Be Inaccurate: Some features of the Software use artificial intelligence and machine learning models to produce transcripts, speaker identifications, summaries, notes, action items, answers, and other output (“Output”). Output is generated automatically, may be incomplete, inaccurate, or inappropriate, and may misattribute statements to the wrong people.
8.2 Your Responsibility: Output is not professional advice of any kind, including legal, medical, financial, or employment advice. You are responsible for reviewing Output and for any decisions or actions you take based on it. You should not rely on Output as the sole basis for any decision that has legal or similarly significant effects on any person.
9. INTELLECTUAL PROPERTY AND FEEDBACK
9.1 Ownership: The Software, including all code, designs, documentation, and other materials, and all intellectual property rights in it, are the exclusive property of Licensor and its licensors.
9.2 Proprietary Information: The Software contains trade secrets and other proprietary information of Licensor, including its source code, designs, processes, and methods (“Proprietary Information”). Licensor has invested substantial time, effort, and cost in developing the Proprietary Information, takes reasonable steps to keep it secret, and derives economic value from it not being generally known. You may not use, reproduce, or disclose any Proprietary Information except as necessary to use the Software as permitted by this Agreement.
9.3 Feedback: If you give Licensor suggestions, ideas, or other feedback about the Software, you grant Licensor a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose without restriction or compensation to you.
10. WARRANTIES AND DISCLAIMERS
10.1 Disclaimer: EXCEPT FOR THE MONEY-BACK GUARANTEE IN SECTION 5, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SOFTWARE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
10.2 No Guarantee: Licensor does not warrant that the Software will be uninterrupted or error-free, that it will work with every computer, operating system, meeting application, or hardware configuration, or that any recording, transcript, or other data will be captured, processed, or preserved without loss.
10.3 Results Not Guaranteed: Licensor makes no warranty that the results obtained from use of the Software will be accurate or reliable, or that the Software or any Output will meet your expectations.
10.4 Not for High-Risk Use: The Software is not designed or intended for use in situations where its failure or inaccurate Output could lead to death, personal injury, or severe physical, property, or environmental damage.
11. LIMITATION OF LIABILITY
11.1 Exclusion of Damages: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF DATA, RECORDINGS, PROFITS, REVENUE, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE TO THE SOFTWARE THAT GAVE RISE TO THE CLAIM.
11.3 Consumer Rights: Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. In those jurisdictions, the exclusions and limitations in Sections 10 and 11 apply only to the extent permitted by law, and nothing in this Agreement limits any rights you have as a consumer that cannot be waived by contract.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Licensor and its affiliates, officers, members, employees, and agents from and against any claims, losses, damages, liabilities, and expenses, including reasonable attorneys’ fees, arising from your use of the Software, Your Content, your failure to obtain any notice or consent required by law (including for recording meetings or creating voice profiles), or your violation of this Agreement.
13. TERM AND TERMINATION
13.1 Term: This Agreement takes effect when you first install, activate, or use the Software, or accept this Agreement, and continues until terminated.
13.2 Termination: You may terminate this Agreement at any time by uninstalling the Software and deactivating your computers. Licensor may terminate this Agreement and disable your license keys immediately if you fail to comply with any provision of this Agreement. This Agreement also ends for a purchase when that purchase is refunded.
13.3 Effect of Termination: Upon termination, all rights granted to you end, and you must stop using the Software and delete all copies of it. Termination does not affect Your Content, which remains yours.
13.4 Survival: Sections 3, 5.4, 6.3, 7, 8, 9, 10, 11, 12, 13.3, 13.4, and 15 survive termination, together with any other terms that by their nature are intended to survive.
14. UPDATES AND CHANGES TO THIS AGREEMENT
14.1 Updates, Fixes, and Patches: Licensor may provide updates, fixes, or patches for the Software, which may include additional or different terms. If no additional or different terms are provided, the update is governed by this Agreement. Updates are optional unless they are needed to fix a security problem or to keep license activation working.
14.2 Changes to This Agreement: Licensor may update this Agreement from time to time and will post the updated version on its website with a new “Last Updated” date. Changes apply to purchases, major versions, and updates released after the change is posted. Licensor will not make changes that reduce the rights you received for a license you have already purchased without your agreement, except where required by law.
15. GENERAL TERMS
15.1 Governing Law: This Agreement is governed by the laws of the State of Georgia, U.S.A., without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
15.2 Venue: All disputes arising out of or relating to this Agreement or the Software shall be subject to the exclusive jurisdiction of the state and federal courts located in or serving Paulding County, Georgia, and you consent to the personal jurisdiction of those courts.
15.3 Export Compliance: You shall comply with all applicable export control and economic sanctions laws. You represent that you are not located in, or a resident or national of, any country subject to comprehensive U.S. sanctions, and that you are not on any U.S. government list of restricted parties.
15.4 U.S. Government End Users: The Software is “commercial computer software” and its documentation is “commercial computer software documentation,” as those terms are used in the applicable U.S. federal acquisition regulations. U.S. government end users acquire the Software only with the rights set out in this Agreement.
15.5 Electronic Communications: You consent to receive all communications, agreements, notices, and disclosures relating to the Software and this Agreement (“Communications”) electronically, at the email address you provided when purchasing or by posting on our website. Communications include amendments to this Agreement, termination notices, and information about the Software. Electronic Communications satisfy any legal requirement that a communication be in writing.
15.6 Entire Agreement: This Agreement, including any Product Schedule and the Privacy Policy, is the entire agreement between you and Licensor regarding the Software and supersedes all prior agreements and understandings about it.
15.7 Assignment: You may not assign or transfer this Agreement or any license without Licensor’s prior written consent. Licensor may assign this Agreement to an affiliate or to a successor in connection with a merger, acquisition, or sale of the business or assets to which it relates.
15.8 Severability: If any provision of this Agreement is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in full effect.
15.9 Waiver: No waiver of any breach is a waiver of any other or later breach. A failure to enforce a provision is not a waiver of it.
15.10 Attorneys’ Fees: If any legal proceeding is necessary to enforce this Agreement, the prevailing party is entitled to reasonable attorneys’ fees in addition to any other relief to which it may be entitled.
15.11 Relationship: Nothing in this Agreement creates any agency, partnership, joint venture, or employment relationship between the parties. Neither party has authority to bind the other in any way.
15.12 Headings: Section headings are for convenience only and do not affect the meaning of this Agreement.
15.13 Contact: Questions about this Agreement may be sent to support@studerworks.com.
PRODUCT SCHEDULE A: MEETING RECORDER & LIBRARY
The following additional terms apply to Meeting Recorder & Library (the “Meeting Recorder”).
A.1 What It Does: The Meeting Recorder records online meetings on your computer, then transcribes them, identifies speakers, and creates summaries, notes, and action items using AI models that run on your computer or on a server you control. It also provides a searchable library of your meetings, live assistance during meetings, and connections to AI assistants that you choose to set up.
A.2 Computers per License: A Personal license may be activated on up to two (2) computers. Each Business seat may be activated on up to two (2) computers. Business seats are sold in the pack sizes offered at checkout.
A.3 Server Mode: Running the Meeting Recorder as a server that processes meetings for other computers (“Server Mode”) requires a Business license activated on the server computer. Server Mode may be used only within the organization that holds the Business license, and only by people who have their own valid Meeting Recorder license. Computers that connect to a server need their own valid license.
A.4 Offline Grace Period: If the Meeting Recorder cannot reach the licensing service, it keeps working for thirty (30) days from the last successful license check. Without a valid license, the Meeting Recorder works in library-only mode: you can still open and search your existing meetings, but it does not record, transcribe, or create summaries until a valid license is confirmed.
A.5 Recording Consent: Laws in many places require that everyone in a conversation be told that it is being recorded, and some require that every participant consent. You are solely responsible for knowing and following the recording, wiretapping, eavesdropping, and privacy laws that apply to you and to every participant, including telling participants that a meeting is being recorded and obtaining any consent required, and for following the policies of your organization and of the meeting service you use. The Meeting Recorder does not notify participants for you.
A.6 Voice Profiles: To identify speakers, the Meeting Recorder can create voice profiles (“voiceprints”) from recordings and store them on your computer or server. Voiceprints may be considered biometric information under some laws, such as the Illinois Biometric Information Privacy Act and similar laws in other states and countries. You are solely responsible for providing any notice, obtaining any written consent, and following any retention and deletion requirements that those laws impose before creating or keeping voiceprints of any person. Voiceprints are stored with each meeting’s transcript and are deleted when you delete that meeting or its transcript.
A.7 Downloads from Third Parties: During setup and when you change AI models, the Meeting Recorder downloads AI models and software components from Licensor’s download servers and from third-party sources such as Hugging Face, PyTorch, Ollama, and GitHub. Those sources receive your IP address and ordinary request information under their own terms and privacy policies. AI models are governed by the licenses of their publishers.
A.8 AI Assistant Connections: If you connect the Meeting Recorder to an AI assistant or other third-party tool (for example, through its built-in MCP server), that tool can read the meetings you allow it to access. What that tool does with Your Content is governed by its own terms and privacy policy, and Licensor is not responsible for it.
PRODUCT SCHEDULE B: BOOKMARK MANAGER
The following additional terms apply to Bookmark Manager.
B.1 What It Does: Bookmark Manager stores, organizes, and searches web bookmarks on your computer or on a server you control, and can share folders of bookmarks between people who use the same server.
B.2 Installations per License: Each license may be activated on one (1) installation, either on one computer or on one server.
B.3 Users per License: When Bookmark Manager runs on a server with user accounts (“Server Mode”), the number of enabled user accounts may not exceed the number allowed by your license: two (2) for Personal, four (4) for Family, and any number for Business. Business licenses may be used only by people within the organization that holds the license. You may not share one account among several people to get around these limits.
B.4 Offline Grace Period and Unlicensed Use: If Bookmark Manager cannot reach the licensing service, it keeps working for thirty (30) days from the last successful license check. Without a valid license, you can still view, search, open, edit, and export your existing bookmarks, but you cannot add or import new bookmarks until a valid license is confirmed.
B.5 Contact with Websites You Save: To look up page titles, show site icons, and check whether links still work, Bookmark Manager (or your browser) contacts the websites you bookmark from your computer or server. Those websites receive your IP address and ordinary request information under their own terms. You are responsible for your use of the websites you save and for the content of your bookmarks.
B.6 Your Data and Backups: Your bookmarks, accounts, and backups are stored on your computer or server. You are responsible for that data, for keeping copies of it, and, when you run Server Mode, for managing the accounts and access of the people who use it.
BY INSTALLING, ACTIVATING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
