PLEASE READ THESE TOU CAREFULLY. BY ACCESSING OR USING THIS WEB SITE, YOU AGREE TO BE BOUND BY THE TERMS DESCRIBED IN THESE TOU AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT USE THIS WEB SITE.

Studer Works, LLC (“Studer Works,” “we,” “us,” or “our”) has created these TOU to describe the terms and conditions for your access to this Web Site and for buying and downloading our software products. Please note that if you access other websites from links on this Web Site, those websites may have different terms of use that are specific to those websites. We encourage you to read the terms and conditions of each website you visit.

1. INTRODUCTION

Your use of this Web Site constitutes your knowledge, understanding, and acceptance of these TOU, and your agreement to be bound by them. Studer Works may change, edit, modify, delete, revise, or update these TOU from time to time by posting the updated TOU on this Web Site with a new “Last Updated” date (the “Effective Date”). Your use of this Web Site after the updated TOU are posted constitutes your agreement to comply with them.

2. OUR SOFTWARE, PURCHASES, AND OTHER TERMS

2.1 Software License Agreement: Every software product that Studer Works publishes (the “Software”) is licensed, not sold, under the Studer Works Software License Agreement (the “EULA”), available on this Web Site. The EULA, not these TOU, governs your installation and use of the Software. If these TOU conflict with the EULA regarding the Software, the EULA controls.

2.2 Privacy Policy: Our Privacy Policy, available on this Web Site, explains how we collect and use personal information and is incorporated into these TOU by reference.

2.3 Purchases: Software licenses are sold through Lemon Squeezy, our authorized reseller and merchant of record, which processes payments, collects applicable taxes, and issues receipts. Your purchase is subject to Lemon Squeezy’s terms in addition to the EULA.

2.4 Refunds: Every purchase includes a 14-day money-back guarantee. You can request a refund within 14 days of purchase through the refund page on this Web Site. Requests after 14 days are reviewed case by case, as described in the EULA. Please contact us before disputing a charge with your bank. Any chargeback, whatever its outcome, terminates all of your licenses and permanently blocks you from buying, downloading, or using our Software, as described in the EULA.

3. TRADEMARKS

The trademarks, trade names, trade dress, logos, product names, and service marks (collectively, the “Trademarks”) displayed on this Web Site are the registered and/or unregistered Trademarks of Studer Works and its licensors, business partners, or other third parties that may own the displayed Trademarks. Nothing on this Web Site or in these TOU grants you, by implication or otherwise, any license or right to use any Trademarks displayed on this Web Site without the written permission of Studer Works or the third party that owns them.

4. WEB SITE CONTENTS AND COPYRIGHT

The text, documentation, images, screenshots, graphics, video files, Web Site functionality, and any other digital media, and their arrangement on this Web Site (“Content”), are subject to copyright, trademark, and other intellectual property protection. Content may not be copied for commercial use or distribution, nor may Content be modified, processed, or reposted to other websites, without the express written consent of Studer Works. You may view, download, copy, and print Content for your personal, non-commercial use, and organizations that hold a license to our Software may copy and print the product documentation for internal use with that Software. No right, title, or interest in any Content is transferred to you as a result of any downloading, copying, printing, or use of this Web Site. Studer Works reserves all rights not expressly granted in these TOU.

5. FEEDBACK AND OTHER SUBMISSIONS

We welcome feedback about our Web Site and Software. Please do not send us confidential or proprietary information, or unsolicited creative concepts, ideas, materials, or products (“Submissions”). Submissions will not be treated as confidential, and Studer Works is under no obligation to use them, to respond to them, or to compensate you for them. By sending us a Submission, you represent that you have the right to do so, and you grant Studer Works a perpetual, worldwide, irrevocable, transferable, royalty-free license to use that Submission for any lawful purpose. This section does not apply to support requests, which we handle as described in our Privacy Policy.

6. THIRD-PARTY LINKS AND SERVICES

This Web Site may link to or embed third-party websites and services, such as the Lemon Squeezy checkout and the publishers of third-party software components and AI models, which are not controlled by Studer Works. Studer Works is not responsible for the content, availability, or practices of those websites and services, or for any goods, services, or other transactions made with them (“Third-Party Products”), except for our own Software sold through our reseller. Please review the third party’s terms and policies before you use them. Complaints, claims, concerns, or questions about Third-Party Products should be directed to the third party.

7. COPYRIGHT COMPLAINTS

If you believe that any content on this Web Site infringes your copyright, please email support@studerworks.com with a description of the copyrighted work and the content you believe infringes it, and we will review your complaint promptly.

8. PROHIBITED USES

9. LICENSE KEYS AND ORDER INFORMATION

This Web Site does not require you to create an account. When you buy Software, your license key and order details are sent to the email address you provide at checkout and are available on your Lemon Squeezy order page. You agree to: (a) provide accurate, current, and complete information when you buy; (b) keep your license keys and order emails confidential and not share them with others; (c) promptly notify us at support@studerworks.com if you believe a license key has been lost, stolen, or misused; and (d) take responsibility for all use of the Software activated with your license keys, as described in the EULA.

10. WEB SITE UPDATES AND ERRORS

Studer Works undertakes no obligation to update, amend, or clarify information on this Web Site, including, without limitation, pricing, product, or system requirement information, except as required by law. No specified update or refresh date on this Web Site should be taken to indicate that all information on the Web Site has been modified or updated. Subsequent events or changes in circumstances may cause existing information on this Web Site to become inaccurate or incomplete.

On occasion, information on this Web Site may contain errors, including, without limitation, typographical errors, inaccuracies, or omissions related to product features, system requirements, pricing, discount codes, special offers, or availability. Studer Works reserves the right to correct any errors, inaccuracies, or omissions and to change or update information at any time without prior notice, and to cancel and refund any order placed at an incorrect price.

IN NO EVENT WILL STUDER WORKS’ AND ITS AFFILIATES’, AGENTS’, LICENSORS’, OR SUPPLIERS’ TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THIS WEB SITE EXCEED ONE HUNDRED DOLLARS ($100). LIABILITY RELATED TO OUR SOFTWARE IS GOVERNED BY THE EULA.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, THE LIABILITY OF STUDER WORKS AND ITS AFFILIATES, AGENTS, LICENSORS, AND SUPPLIERS IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW, AND NOTHING IN THESE TOU LIMITS ANY RIGHTS YOU HAVE AS A CONSUMER THAT CANNOT BE WAIVED BY CONTRACT.

13. INDEMNIFICATION

YOU AGREE TO INDEMNIFY AND HOLD STUDER WORKS AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, BUSINESS PARTNERS, AND AFFILIATES HARMLESS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, COSTS, AND EXPENSES, INCLUDING ATTORNEYS’ FEES, ARISING FROM OR RELATED TO YOUR USE OF THIS WEB SITE OR YOUR BREACH OF THESE TOU.

14. TERMINATION

These TOU remain in effect until you notify us that you no longer wish to use the Web Site, or you stop using the Web Site. All terms of these TOU that by their nature require continued performance, compliance, or effect beyond termination will survive termination and will be enforceable by the parties. Studer Works may terminate these TOU at any time, immediately and without notice, and deny you access to this Web Site, if in Studer Works’ sole discretion you fail to comply with any term of these TOU. Termination of these TOU does not by itself end a license to Software you have purchased, which is governed by the EULA.

15. CHOICE OF LAW AND FORUM

These TOU will be governed by and construed in accordance with the laws of the State of Georgia, U.S.A., without regard to its conflict of law rules. For all disputes arising out of or relating to this Web Site or these TOU, you submit to the exclusive personal jurisdiction and venue of the state and federal courts located in or serving Paulding County, Georgia, U.S.A.

16. ELECTRONIC COMMUNICATIONS AND NOTICES

When you visit this Web Site or send emails to us, you are communicating with us electronically, and you consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this Web Site. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. 17. AGE AND AUTHORITY

By using this Web Site, you represent that you are at least the age of majority in your state, province, or country of residence. If you use this Web Site or buy Software on behalf of an organization, you represent that you have the authority to bind that organization to these TOU.

18. ENTIRE AGREEMENT AND GENERAL TERMS

These TOU, together with the Privacy Policy and, for our Software, the EULA, constitute the entire agreement between you and Studer Works related to the use of the Web Site and supersede any prior agreements or understandings about it. If any provision of these TOU is held invalid or unenforceable, the remaining provisions will remain in full effect. No waiver of any breach is a waiver of any other or later breach. Studer Works may assign these TOU to an affiliate or to a successor of its business. These TOU are effective as of the Effective Date.
